Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of QalamSign, an electronic-signature platform operated by Asas Labs Ltd (company no. 517341970), a company registered in Israel with its registered office at 27 Al-Wurud, Tamra 3081100, Israel (“Asas Labs”, “we”, “us” or “our”).

By creating an account, ticking the acceptance box during registration, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

1. Definitions

  • “Service” means the QalamSign web application, APIs, and related services made available at qalamsign.com and its subdomains.
  • “Account” means the account you register to access the Service.
  • “Customer”, “you” or “your” means the person or organisation that registers for and uses the Service.
  • “User Content” means documents, files, data, signatures and any other material that you or your recipients upload to, generate in, or transmit through the Service.
  • “Recipient” or “Signer” means a person you invite to view, fill in or sign a document through the Service.

2. The Service and electronic signatures

QalamSign enables you to upload documents, prepare them for signature, send them to recipients, capture electronic signatures, and store the resulting documents together with an audit trail.

Electronic signatures are legally recognised in Israel under the Electronic Signature Law, 5761-2001. An electronic signature captured through the Service is intended to constitute an “electronic signature” within the meaning of that Law. Unless explicitly stated otherwise, the Service does not issue “certified” or “secure” electronic signatures based on a certificate from a licensed certification authority. You are responsible for assessing whether an ordinary electronic signature is legally sufficient for your particular document and jurisdiction.

Certain documents cannot be validly signed electronically under Israeli or other applicable law (for example, certain documents that the law requires to be in a specific form, and certain transactions in real-estate or family matters). You are solely responsible for confirming that a document may lawfully be signed electronically before using the Service for it.

3. Eligibility and accounts

  • You must be at least 18 years old and able to enter into a binding contract to use the Service.
  • You must provide accurate and complete registration information and keep it up to date.
  • You are responsible for all activity under your Account and for keeping your credentials confidential. Notify us immediately at admin@asaslabs.com if you suspect unauthorised use.
  • Where you register on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

4. Plans, fees and billing

The Service is offered under different plans, including a free tier and paid subscriptions. The features, limits and price of each plan are described on our pricing page at the time you subscribe.

  • Paid plans are billed in advance for each subscription period. Payment instructions and the fees applicable to any renewal will be made available to you; we do not auto-charge a stored payment card.
  • Fees are stated exclusive of value added tax (VAT) and any other applicable taxes, which will be added where required by law.
  • Except as expressly stated in these Terms or required by mandatory law, fees already paid are non-refundable.
  • We may change plan pricing or features on prospective notice; changes take effect at your next renewal.

5. Acceptable use

You agree not to use the Service to:

  • Upload, send or sign any content that is unlawful, fraudulent, defamatory, infringing, or that you are not authorised to share.
  • Forge a signature, impersonate another person, or send documents for signature without a lawful basis to contact the recipient.
  • Breach the privacy rights of any person, including by processing personal data of recipients without an appropriate legal basis.
  • Distribute malware, attempt to gain unauthorised access to the Service, or interfere with its operation or security.
  • Use the Service in violation of any applicable law, including the Protection of Privacy Law, 5741-1981, and anti-spam provisions of the Communications (Telecommunications and Broadcasting) Law, 5742-1982 (Section 30A).

6. Your content and responsibilities

As between you and us, you retain all rights in your User Content. You grant Asas Labs a limited, worldwide, non-exclusive licence to host, store, process, transmit and display User Content solely to provide and maintain the Service.

You are solely responsible for your User Content and for the documents you send, including their legality, accuracy, and the identity and consent of the recipients you contact. Where your User Content contains personal data of recipients or other individuals, you act as the controller of that data and we act as your processor; our respective obligations are set out in our Data Processing Addendum (DPA).

7. Audit trail and evidentiary records

For documents processed through the Service we generate an audit trail that may record events such as sending, viewing, signing and completion, together with timestamps and technical metadata (including IP address and user-agent). This audit trail is intended to support the integrity and evidentiary value of the signing process. You are responsible for downloading and retaining completed documents and their audit trail for your own records.

8. Intellectual property

The Service, including its software, design, trademarks and content (excluding User Content), is owned by Asas Labs or its licensors and is protected by intellectual-property laws. These Terms grant you a limited, revocable, non-transferable right to use the Service in accordance with these Terms; no other rights are granted.

9. Third-party services

The Service relies on third-party providers for hosting, storage, email and SMS delivery, and bot protection. Your use of the Service may be subject to those providers’ terms. A current list of our sub-processors is maintained in our Data Processing Addendum.

10. Term, suspension and termination

  • You may stop using the Service and delete your Account at any time, as described in our Account Deletion page.
  • We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users from harm.
  • On termination, your right to use the Service ends. We will handle your data in accordance with our Privacy Policy and DPA, including applicable retention periods.

11. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any document signed through it will be legally enforceable in your circumstances.

12. Limitation of liability

To the maximum extent permitted by applicable law, Asas Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of the Service. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory law.

13. Indemnification

You agree to indemnify and hold harmless Asas Labs and its officers, directors and employees from and against any claims, damages, liabilities and expenses arising out of your User Content, your use of the Service, or your breach of these Terms or of applicable law.

14. Changes to the Service and these Terms

We may modify the Service and these Terms from time to time. If we make a material change to these Terms, we will provide reasonable notice (for example, by email or an in-app notice) before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of the Tel Aviv-Yafo district will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

16. General

  • If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
  • Our failure to enforce any right or provision is not a waiver of that right or provision.
  • You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets.
  • These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and us regarding the Service.
  • Neither party is liable for failure to perform due to events beyond its reasonable control (force majeure).
